Terms & Conditions – GSM Bulk
1. General Provisions
These Terms and Conditions (hereinafter referred to as the “Agreement”) constitute a legally binding agreement between GSM Bulk, a company engaged in the wholesale distribution of mobile phones and related electronic devices (hereinafter referred to as “Seller”), and any individual or entity (hereinafter referred to as “Buyer”) who purchases, orders, or otherwise obtains products from GSM Bulk. By placing an order with GSM Bulk, the Buyer expressly acknowledges, agrees, and accepts all provisions, limitations, disclaimers, and conditions set forth herein.
2. Acceptance of Orders
All orders submitted by the Buyer are subject to acceptance, approval, and confirmation by GSM Bulk at its sole discretion. GSM Bulk reserves the right to reject, cancel, or refuse to process any order for any reason, including but not limited to creditworthiness, availability of stock, compliance with applicable laws, or perceived risk associated with shipping or destination. No order shall be deemed accepted by GSM Bulk until written confirmation, electronic acknowledgment, or shipment of the ordered products has occurred.
3. Pricing, Payment, and Taxes
All prices are listed in USD (United States Dollars) unless otherwise specified and are subject to change without prior notice. Payment must be completed in full prior to shipment unless a separate written agreement exists. The Buyer shall bear all costs associated with currency conversion, wire transfers, banking fees, and other charges related to payment. GSM Bulk does not provide advice or guarantee regarding local taxation, import duties, or other fees that may be imposed by the Buyer’s country or jurisdiction.
4. Shipping, Delivery, and Risk of Loss
All products are shipped via carriers selected by GSM Bulk and are shipped at the Buyer’s sole risk. Delivery times provided are estimates only and are not guaranteed. GSM Bulk shall not be held responsible for any delays, damages, losses, or additional costs incurred during transit. The Buyer is solely responsible for providing accurate shipping information.
5. Customs, Import Duties, and Regulatory Compliance
The Buyer acknowledges and agrees that they are solely responsible for compliance with all customs, import duties, tariffs, taxes, regulations, and other requirements imposed by their country of destination. GSM Bulk shall not be liable for any fines, penalties, confiscations, or delays imposed by any governmental authority. Any customs-related issues, inspections, or administrative procedures shall be handled exclusively by the Buyer, at the Buyer’s expense.
6. Warranty, Returns, and Defective Goods
All products are provided “as is” unless explicitly covered by GSM Bulk’s warranty policy. Any warranty claims, returns, or disputes regarding defective or non-conforming goods must be submitted in writing to GSM Bulk within the time period specified in the warranty documentation. GSM Bulk reserves the right to inspect returned goods and determine, at its sole discretion, whether a replacement, repair, or credit is appropriate.
7. Limitation of Liability
To the fullest extent permitted by applicable law, GSM Bulk shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of revenue, loss of profits, loss of business opportunities, or business interruption, arising from or related to the purchase, use, shipment, delivery, or inability to use the products. This limitation applies regardless of whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory.
8. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to any conflict of laws principles. Any and all disputes, controversies, or claims arising out of, relating to, or in connection with this Agreement, including its interpretation, performance, or breach, shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA, and the Buyer hereby consents to the personal jurisdiction and venue of such courts.
9. Indemnification
The Buyer agrees to indemnify, defend, and hold harmless GSM Bulk, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to: (a) the Buyer’s breach of this Agreement, (b) the Buyer’s failure to comply with applicable import/export laws, customs regulations, or other governmental requirements, or (c) any misuse or resale of the products purchased from GSM Bulk.
10. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be interpreted so as to give maximum effect to the original intent of the parties.
11. Entire Agreement and Amendments
This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior or contemporaneous oral or written agreements. GSM Bulk reserves the right to amend, modify, or update these Terms & Conditions at any time, without prior notice. Any such amendments shall be effective immediately upon posting on GSM Bulk’s website.
12. Miscellaneous
The Buyer acknowledges that they have read, understood, and agreed to all terms contained herein. Failure to read or understand these Terms & Conditions shall not relieve the Buyer of their obligations or responsibilities under this Agreement.
